These Terms & Conditions (“Terms”) govern your access to and use of the websites, applications, and services operated by EnerPay Solutions (“EnerPay”, “we”, “us”, “our”). By creating an account, using our services, or otherwise accessing the platform, you agree to these Terms.

1. Who we are

EnerPay provides energy payment and financing software in Nigeria, including (where configured) prepaid token purchase flows, metering integrations, collections dashboards, and Buy‑Now‑Pay‑Later (“BNPL”) plans for eligible customers purchasing approved energy products.

3.1 Token purchases and payments

Where integrations are available, you may purchase prepaid electricity tokens or pay energy bills. Token vending and supply remain dependent on third‑party providers, DisCos, or licensed partners. We do not guarantee uninterrupted supply or vending availability outside of our control.

3.2 BNPL for energy products

BNPL is offered only to eligible customers and may be provided directly by EnerPay or via lending/financing partners. BNPL terms (including interest, fees, and repayment schedule) will be shown before confirmation.

3.3 Device servicing and status control (supported products only)

For certain financed devices (for example, approved metering or energy hardware), and only where your contract permits, the platform may send a service‑status signal to the vendor/device system (e.g., restrict or restore service). Any such controls will be governed by your BNPL agreement, vendor terms, and applicable Nigerian laws and regulations.

4. Fees, interest, and taxes

Fees and BNPL interest (if any) are disclosed before you confirm a transaction. You are responsible for any applicable taxes, duties, or levies associated with your use of the services or purchase of products.

5. Refunds and reversals

Refunds depend on the payment method, settlement status, and third‑party provider rules. Where a reversal is possible, we will process it according to our internal procedures and partner requirements. Certain token purchases may be non‑refundable once vended.

We may integrate third‑party payment processors, KYC providers, metering platforms, and other partners. Their services may be governed by separate terms. We are not responsible for third‑party outages or actions beyond our control.

8. Intellectual property

The platform, including software, designs, logos, and content, is owned by EnerPay or its licensors and protected by applicable laws. You may not copy, modify, distribute, or reverse engineer our platform except as permitted by law.

9. Disclaimers

The services are provided “as is” and “as available”. We do not warrant that the platform will be uninterrupted or error‑free. To the maximum extent permitted by law, EnerPay disclaims all implied warranties including merchantability, fitness for a particular purpose, and non‑infringement.

10. Limitation of liability

To the maximum extent permitted by law, EnerPay will not be liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill arising from your use of the services.

11. Suspension and termination

We may suspend or terminate your access if we believe you violated these Terms, we must comply with legal requirements, or for risk management. You may close your account by contacting support.

12. Privacy

Your use of the services is also governed by our Privacy Policy.

13. Governing law and disputes

These Terms are governed by the laws of the Federal Republic of Nigeria. Disputes should first be raised via our support channels. If unresolved, disputes may be submitted to competent courts in Nigeria as permitted by law.

14. Changes

We may update these Terms from time to time. We will post the updated version on this page and adjust the “Last updated” date. Continued use of the services after changes means you accept the updated Terms.
